The Challenge
Northbridge Freight's legal team was reviewing more contracts than ever — vendor MSAs, data processing addenda, leases, and reseller agreements — with a lean staff of in-house counsel who couldn't keep pace with the business's growth. Every contract had to be read clause by clause for liability caps, indemnification terms, and data protection language, a process that routinely took two to five days per document.
That review bottleneck was quietly costing the business. Deals sat waiting on legal sign-off, procurement teams grew frustrated with the delays, and the same handful of risky clauses kept slipping through because there was no consistent way to compare a new contract against the company's own negotiating standards. When something did get flagged, it was usually caught late, after a document had already gone through several rounds of internal circulation.
Northbridge needed a way to triage incoming contracts by actual risk rather than by whoever happened to open the file next, and to give reviewers a head start with the specific clauses that mattered instead of a full re-read every time. Off-the-shelf redlining tools tracked changes but didn't understand risk; enterprise contract lifecycle platforms were built for procurement workflows, not for surfacing legal judgment at the clause level.
Our Solution
We built Clarivue AI as a contract intelligence platform that reads every uploaded document, flags clauses that fall outside a company's own risk tolerances, and proposes specific redlines grounded in that company's contract history — not generic legal boilerplate. Legal teams get a prioritized queue instead of a flat inbox, a clause-level review interface with inline risk annotations, and a side-by-side comparison view for every suggested revision.
The risk-scoring engine runs on an LLM API layer (GPT-4-class models via the OpenAI API) for clause extraction and redline generation, with embeddings stored in a Pinecone vector database so every new contract is compared against the client's own history of past reviews, negotiated positions, and standard templates rather than judged in isolation. We used LangChain to orchestrate the multi-step extraction-classification-generation pipeline, and layered a deterministic rules engine on top for jurisdiction-specific compliance checks (GDPR, CCPA) that shouldn't be left purely to model inference.
The application itself is a React and TypeScript frontend with a Python FastAPI backend handling document parsing, clause segmentation, and the AI pipeline, backed by PostgreSQL for contract metadata and workflow state. Document storage and versioning run through S3-compatible object storage, and we built a configurable approval-workflow engine so legal ops teams can define their own multi-step sign-off paths — draft upload, AI risk scan, legal review, risk assessment, manager approval, and countersignature — without needing engineering support to change the process.
Every flagged clause ships with a plain-language explanation of why it was flagged and a suggested redline the reviewer can accept, edit, or dismiss, keeping a licensed attorney in the loop on every decision the system makes.
The Impact
Within two full quarters of rollout, Clarivue AI had reviewed over a thousand contracts for Northbridge Freight's legal team, cutting average turnaround time from 4.6 days to 1.8 days and reducing the high-risk clause rate by more than two points as reviewers caught issues earlier and more consistently. The team's AI-suggested redlines now see a 78% acceptance rate, freeing senior counsel to spend their time on genuine negotiation rather than first-pass clause hunting.
